Terms of Service

Welcome to PersonaTalk! These Terms of Service ("Terms") govern your access to and use of the PersonaTalk
mobile application ("App," "Service," or "PersonaTalk") provided by You & Me Solutions ("we," "us," or
"our").
By downloading, installing, or using PersonaTalk, you agree to be bound by these Terms. If you do not agree
to these Terms, do not use the App.
Platform note: These Terms apply to both iOS and Android
versions of PersonaTalk. Certain sections (such as payments, refunds, and account sign-in) may reference
platform-specific providers (Apple App Store / Google Play).
1. Acceptance of Terms
By creating an account or using PersonaTalk, you confirm that:
- You are at least 17 years of age (or the minimum age required in your jurisdiction). PersonaTalk is
rated 17+ in the app stores and is not intended for children.
- You have the legal capacity to enter into these Terms
- You will comply with these Terms and all applicable laws
- All information you provide is accurate and current
2. Description of Service
PersonaTalk is a voice-first AI conversation platform that enables you to:
- Engage in voice and text conversations with AI-powered personas
- Explore curated AI characters across different categories
- Access streaming audio responses from AI personas
- Participate in community features (comments, likes, ratings)
- Purchase consumable credits ("Lives") for continued use
- Create and share Custom Roles with built-in safety filters
- Generate a synthetic photo of you with Mei after unlocking the feature
Important: PersonaTalk uses artificial intelligence to generate responses. AI-generated
content may be inaccurate, unexpected, or inappropriate. Do not rely on AI responses for professional
advice.
3. Account Registration and Security
3.1 Account Creation
To use PersonaTalk, you must create an account using:
- Sign in with Apple (iOS), or
- Sign in with Google
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your account information is accurate and up-to-date
3.3 Account Restrictions
You may not:
- Create multiple accounts for fraudulent purposes
- Share your account with others
- Use another person's account without permission
- Sell, transfer, or assign your account
3.4 Account Deletion
You can delete your account in‑app at any time: Profile > Settings > Account > Delete
Account. Deletion permanently removes your account and associated personal data (including your
custom roles and any stored images) within 30 days, except data we may retain as required by law or to
prevent fraud.
4. Lives and In-App Purchases
4.1 Lives Credits System
- Lives are consumable credits used to send messages to AI personas
- Each message typically costs 1 point (subject to change)
- You can purchase Lives through in-app purchases
- Initial Lives may be provided upon account creation
4.2 Purchasing Lives
- Lives are purchased through your device's in-app purchase system:
- iOS: Apple In‑App Purchase
- Android: Google Play Billing
- Available packages: 300 Lives, 600 Lives, 1000 Lives
- Prices are displayed in your local currency and may vary by region
- All purchases are final and non-refundable except as required by law
4.3 Consumable Nature of Lives
Important: Lives are consumable in-app purchases:
- Once used, Lives cannot be recovered or restored
- The "Restore Purchases" feature does not restore consumed Lives
- If you delete and reinstall the App, unused Lives should remain (synced via your account)
- Lives are tied to your account, not your device
4.4 Promotional Credits
- We may offer promotional Lives from time to time
- Promotional Lives may have expiration dates or usage restrictions
- Server promotions may adjust final credited Lives
4.5 Refund Policy
- All purchases are subject to the applicable store's refund policies
- To request a refund:
- We reserve the right to refuse service if we detect fraudulent refund activity
5. Acceptable Use Policy
5.1 Permitted Use
You may use PersonaTalk for:
- Personal, non-commercial entertainment and conversation
- Language practice and roleplay scenarios
- Creative brainstorming and idea exploration
- Participating in community discussions
5.2 Prohibited Activities
You agree NOT to:
- Use the Service for any illegal purpose or in violation of any laws
- Attempt to manipulate, exploit, or abuse the Lives credit system
- Share, distribute, or reverse-engineer any part of the App
- Use automated systems (bots, scripts) to access the Service
- Attempt to gain unauthorized access to our systems or other users' accounts
- Upload or transmit viruses, malware, or malicious code
- Interfere with or disrupt the Service or servers
- Impersonate another person or entity
- Collect or harvest data from the Service without permission
5.3 Content Restrictions
When posting comments or interacting with the Service, you agree NOT to:
- Post content that is illegal, harmful, threatening, abusive, or hateful
- Post sexually explicit or pornographic content
- Post content that promotes violence or discrimination
- Post spam, advertisements, or solicitations
- Post false or misleading information
- Infringe on intellectual property rights
- Violate anyone's privacy or personal rights
- Post content that exploits or harms minors
- Attempt to bypass or disable safety filters on roles
6. User-Generated Content
6.1 Your Content
You retain ownership of content you create (including comments, messages, custom roles, and photos). You
grant us only the limited licenses described below so we can operate the Service:
- Comments and Display Name: A worldwide, non‑exclusive license to host and display your
comments publicly within the App.
- Custom Roles (if you choose to share): A license to host, display, and moderate your
role (including applying safety filters and edits that enforce policy). You can unshare or delete your
role at any time.
- Image Generation: A license to process your input photo and prompts solely to
generate the requested image for you and to provide related features you request (for example, viewing,
downloading, or re‑accessing your image). We do not publicly display or use your photos or generated
images for marketing or model training without your explicit, revocable opt‑in.
- Responsibility: The role creator is responsible for the role’s content and must comply
with these Terms.
- Enforcement: Harmful or policy‑violating roles or content may be removed, and accounts
may be suspended or banned.
- Consent: You are responsible for obtaining permission to use any photos that include
other people. Do not upload photos of minors or of others without consent, and do not upload content
that infringes rights of publicity or creates deceptive deepfakes.
6.2 Content Moderation
- We reserve the right to remove any content that violates these Terms
- We may moderate user comments and community content
- Users can report inappropriate content in‑app via User Profile or by
contacting support. We typically review reports within 24–72 hours.
- We are not obligated to monitor all content but may do so
6.3 Content Responsibility
- You are solely responsible for content you post
- We do not endorse user-generated content
- We are not liable for user-generated content
- You are responsible for obtaining permission to use any photos that include other people
7. AI-Generated Content and Disclaimers
7.1 Nature of AI Responses
PersonaTalk uses artificial intelligence to generate conversational responses. You acknowledge that:
- AI responses are generated automatically and may be inaccurate
- AI may produce unexpected, inappropriate, or offensive content despite our filtering
- AI responses do not represent our views or opinions
- AI cannot provide professional advice (medical, legal, financial, etc.)
7.2 No Professional Advice
PersonaTalk is for entertainment purposes only. Do not rely on AI responses for:
- Medical diagnosis or treatment
- Legal advice or representation
- Financial or investment decisions
- Mental health counseling or therapy
- Emergency situations
7.3 Content Filtering
- We implement content filtering to reduce inappropriate responses
- Filtering is not perfect; some inappropriate content may appear
- You can report problematic AI responses to help us improve
- We apply automated safety checks to Custom Roles to prevent disallowed content; these
checks are not foolproof
7.4 Synthetic Images
- Images generated with Mei are synthetic and for entertainment-only
- Do not use generated images for identity verification, medical, legal, or other critical purposes
- Do not upload images of other people without their permission or any images of minors. Do not create
images that violate rights of publicity, are illegal, or otherwise violate these Terms.
8. Privacy and Data
Your privacy is important to us. Please review our Privacy Policy to
understand how we collect, use, and protect your information.
By using PersonaTalk, you consent to:
- Processing of voice input for speech recognition
- Storage of chat history locally and limited context sent to servers
- Collection of limited usage data to improve the Service (not used for cross‑app tracking or third‑party
advertising)
- Public display of comments and display name
9. Intellectual Property Rights
9.1 Our Intellectual Property
PersonaTalk and its original content, features, and functionality are owned by You & Me Solutions and are
protected by:
- Copyright, trademark, patent, and trade secret laws
- International intellectual property laws
9.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to:
- Download and use the App for personal, non-commercial purposes
- Access content through the App
9.3 Restrictions
You may NOT:
- Copy, modify, or create derivative works of the App
- Reverse engineer, decompile, or disassemble the App
- Remove or alter any proprietary notices
- Use the App for commercial purposes
10. Third-Party Services
PersonaTalk integrates with third-party services:
- Firebase: Authentication and cloud services
- Apple: Sign in with Apple, In‑App Purchases (iOS)
- Google: Sign in with Google
- Google Play: In‑app purchase processing (Android)
- RevenueCat: Purchase management
- AI Image Generation Providers (if used): Processing prompts and photos to generate
images
Your use of these services is subject to their respective terms and policies. We are not responsible for
third-party services.
11. Disclaimers and Limitations of Liability
11.1 Service "As Is"
PersonaTalk is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied,
including but not limited to:
- Merchantability, fitness for a particular purpose
- Accuracy, reliability, or availability of the Service
- Error-free or uninterrupted operation
- Quality or appropriateness of AI responses
11.2 Limitation of Liability
To the maximum extent permitted by law, You & Me Solutions shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or use
- Cost of substitute services
- Damages arising from use or inability to use the Service
- Damages related to AI-generated content
- Third-party actions or content
Our total liability shall not exceed the amount you paid us in the past 12 months, or $100, whichever
is greater.
11.3 No Liability for AI Content
We are not liable for:
- Decisions you make based on AI responses
- Harm caused by following AI advice
- Offensive or inappropriate AI-generated content
- Inaccurate or misleading AI information
12. Indemnification
You agree to defend, indemnify, and hold harmless You&Me Solutions, its officers, directors, employees, and
agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use or misuse of PersonaTalk
- Your violation of these Terms
- Your violation of any rights of another party
- Content you submit or post
13. Termination
13.1 Termination by You
You may stop using PersonaTalk at any time by:
- Deleting the App from your device
- Contacting us to request account deletion
13.2 Termination by Us
We may suspend or terminate your access immediately, without notice, for:
- Violation of these Terms
- Fraudulent activity or abuse
- Illegal activity
- Request by law enforcement
- Technical or security reasons
13.3 Effect of Termination
- Your right to use the Service will cease immediately
- Unused Lives are forfeited (non-refundable)
- We may delete your data in accordance with our Privacy Policy
- Provisions that should survive termination will remain in effect
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of changes by:
- Updating the "Effective Date" at the top of this page
- Posting a notice in the App
- Sending you a notification (for material changes)
Your continued use of PersonaTalk after changes constitutes acceptance of the new Terms. If you do not agree,
you must stop using the Service.
15. Governing Law and Disputes
15.1 Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of
law principles.
15.2 Dispute Resolution
If you have a dispute with us, please contact us first to resolve it informally. If we cannot resolve it, you
agree to:
- Arbitration: Most disputes will be resolved through binding arbitration
- Location: Arbitration will take place in California or your home jurisdiction
- No Class Actions: You may not bring claims as part of a class action
15.3 Exceptions
Either party may seek injunctive relief in court for:
- Intellectual property infringement
- Unauthorized use of the Service
- Data security breaches
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and You & Me
Solutions regarding the Service.
16.2 Severability
If any provision is found to be unenforceable, the remaining provisions will remain in effect.
16.3 Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
16.4 Assignment
You may not assign these Terms without our consent. We may assign these Terms without restriction.
16.5 Force Majeure
We are not liable for delays or failures due to events beyond our reasonable control (natural disasters,
wars, pandemics, etc.).
16.6 Export Control
You may not use or export PersonaTalk in violation of U.S. export laws and regulations.
17. App Store / Google Play Terms
17.1 Apple App Store (iOS)
If you downloaded PersonaTalk from the Apple App Store, you acknowledge that:
- These Terms are between you and You & Me Solutions, not Apple
- Apple has no obligation to provide support
- Apple is not responsible for product liability claims
- Apple is a third-party beneficiary and may enforce these Terms
- You comply with Apple's Media Services Terms and Conditions
17.2 Google Play Store (Android)
If you downloaded PersonaTalk from Google Play, you acknowledge that:
- These Terms are between you and You & Me Solutions, not Google
- Google has no obligation to provide support for the App
- Google is not responsible for product liability claims
- Your use of Google Play is governed by Google Play's applicable terms and policies
